General Terms and Conditions (GTC)

1. Scope of Application

1.1 These General Terms and Conditions ("GTC") govern the use of LDC and the associated support services offered by Logodynamics AG, Weinbergstrasse 22, 8280 Kreuzlingen, Switzerland ("Logodynamics," "we").

1.2 The GTC apply to all users, regardless of whether they are private individuals or business customers. If a user acts on behalf of a company, institution, or organization, the use is deemed to be made on behalf of that legal entity; the company thereby becomes a party to the contract and is bound by these GTC.

1.3 A contract for the use of LDC is concluded upon the registration of a user account. These GTC apply accordingly to the use of any demo version.

1.4 Deviating or conflicting terms and conditions of the users do not apply unless Logodynamics has expressly confirmed their validity in writing.

1.5 These GTC are available in German and English. In case of any discrepancies, the German version shall prevail.

2. Conclusion of Contract and User Account

2.1 The registration of a user account is required to use LDC.

2.2 Registration may only be carried out by persons of legal age and full legal capacity or with the consent of a legal representative.

2.3 Users are obliged to keep their access data confidential and not to make them accessible to third parties. Any action via the user account is considered an action of the registered user.

2.4 In the event of loss or misuse of the access data, Logodynamics must be informed immediately.

3. Services of Logodynamics

3.1 LDC is a digital platform that enables users to organize, store, and share information, notes, documents, and content.

3.2 The scope of functions is based on the current service description on our website.

3.3 Logodynamics is entitled to further develop, adapt, or expand the services at any time, provided that this does not significantly affect the core benefit.

4. User Obligations

4.1 Users undertake to use LDC only in accordance with applicable law and these GTC.

4.2 It is particularly prohibited to distribute, store, or make accessible the following content via LDC:

• Discriminatory, racist, sexist, or otherwise dehumanizing content,
• Content that glorifies violence or incites criminal acts,
• Content that infringes on copyrights, trademark rights, or other rights of third parties,
• Unlawful, obscene, offensive, or pornographic content,
• Spam, malware, or other security-threatening content.

4.3 Also prohibited are:

• Manipulations, hacking, or attacks on the technical infrastructure,
• Mass creation of fake accounts,
• Any use that endangers the functionality or security of LDC.

5. Reporting Violations and Legal Obligations

5.1 Users can report violations of these GTC or applicable law at any time to marketing@logodynamics.ch.

5.2 Logodynamics is legally obliged to respond to reports and to block or remove illegal content.

5.3 In the event of serious violations or official orders, Logodynamics is entitled to release data or restrict the use of individual accounts.

6. Content and Copyrights

6.1 Users retain the rights to the content they create.

6.2 The user grants Logodynamics a simple, spatially unlimited right of use to the content, insofar as this is technically necessary for the provision of the services (e.g., storage, backup, display within the application).

6.3 Users are responsible for the legality of their content.

6.4 Logodynamics reserves the right to block or delete content if it violates the GTC or applicable law.

7. Data Protection

7.1 Logodynamics processes users' personal data exclusively in accordance with the Swiss Data Protection Act (DPA) and—where applicable—the European Union's General Data Protection Regulation (GDPR).

7.2 Details on the nature, scope, and purposes of data processing, the third-party providers used (e.g., payment service providers, analysis tools), and the rights of users can be found in the respective valid data protection policy on our website. This privacy policy is an integral part of these GTC.

7.3 Users are obliged to comply with the applicable data protection laws when using LDC, especially if they store or process personal data of third parties. They are themselves responsible for ensuring that there is a legal basis for the processing of this data (e.g., consent of the data subjects).

7.4 To the extent that users use paid services, payment information may be processed by an external payment service provider. The same applies to anonymized or pseudonymized data processed in the context of analysis tools to improve the offering.

7.5 Logodynamics does not display third-party advertisements or banners in LDC. Users' personal data will not be passed on to third parties for marketing or advertising purposes.

The use of personal data for our own information purposes (e.g., newsletters, tips, product updates) is based exclusively on the prior consent of the user.

8. Costs, Subscriptions, and Payment

8.1 LDC can be used as a free basic version, as a paid subscription ("Subscription") with extended functions, or as an individual enterprise/institute package. For enterprise/institute solutions, a separate offer is created in which services, prices, and payment conditions are individually agreed upon.

8.2 Prices, terms, and service scopes can be found in the current price list on our website. All prices are in Swiss francs (CHF) or euros (EUR), excluding legally owed value-added tax.

8.3 The usage fee for LDC and any additional services is to be paid in advance.

8.4 All invoices must be paid within 30 days of the invoice date.

8.5 In case of payment default, Logodynamics is entitled to immediately restrict access to the user account or to suspend the contractual services. In addition, Logodynamics is entitled to terminate this agreement and all other contractual relationships with the customer without notice.

8.6 Subscriptions are automatically renewed unless they are terminated in due time.

9. Termination and Blocking

9.1 Free Subscription ("Personal")
Users of the free Personal subscription can delete their account at any time in the account settings or request deletion via email.

9.2 Paid Subscription ("Premium")
The Premium subscription can be terminated monthly. The termination becomes effective at the end of the already paid billing period.

9.3 Enterprise/Institute Solutions
For enterprise or institute packages, the termination periods and conditions individually agreed upon in the contract apply.

9.4 Termination by Logodynamics
Logodynamics can block or terminate access with immediate effect if users:

• violate essential obligations of these GTC,
• repeatedly post illegal content, or
• fail to make payments despite a reminder.

9.5 Data Deletion
Upon deletion of the account, stored content will be irrevocably deleted after a transition period, unless there is a legal retention obligation.

10. Liability

10.1 Logodynamics provides LDC "as is" and makes no guarantee for the uninterrupted availability or freedom from errors of the services.

10.2 Liability for slight negligence is excluded.

10.3 Liability for intent, gross negligence, and for damages resulting from injury to life, body, or health remains unaffected.

10.4 Users are liable to Logodynamics for all damages arising from a misuse or unlawful use of LDC.

11. Changes to the GTC

11.1 Logodynamics reserves the right to adjust these GTC at any time.

11.2 Users will be informed of significant changes at least 30 days before they take effect.

11.3 If a user does not object to the changes within this period and continues to use the service, the new GTC are considered accepted.

12. Final Provisions

12.1 These GTC are subject exclusively to Swiss law.

12.2 The place of jurisdiction is Kreuzlingen, Switzerland, unless mandatory law provides otherwise.

12.3 Should individual provisions be or become invalid, the validity of the remaining provisions remains unaffected.
